Please read this agreement carefully as it governs your use of our online services (your �Subscription�) and limits our liability to you. By accessing the website at www.money-maestro.co.uk (the �Service�) you are forming a contract and agreeing to the terms that appear below. GENERAL TERMS

1. In this Contract

1.1 �Account Supervisor� means the person who subscribes to the Service on behalf of the Customer and is the main point of contact for all matters relating to the provision of the Service;

1.2 �Authorised User� means a employee or a pupil of the Customer authorised by the Customer to use the Service via a pupil account or teacher account;

1.3 "Content" means all information, video, graphics, sound, music, photographs, software and any other materials (in whatever form) displayed on the Service;

1.4 �Customer� means the educational establishment named on the Subscription Order Form;

1.5 �ID� means the user name and password allocated to the Account Supervisor;

1.6 � Location� means the Customers address;

1.7 �Organisation� means the order form completed by You for the provision of the Services;

1.8 �Services� means the services provided by us whereby the Customer can gain access to Our online education service via the Website;

1.9 "Software" means any software provided by Us to enable the Customer to access or use the Service.

1.10 �Subscription Fee� means the fee payable by You to Us for the Subscription as specified by Us from time to time;

1.11 "Subscription Order Form" means

1.12 �Subscription� means the use of Our online services;

1.13 Supplement means a fee of �9.99 payable by You to Us for each and every teacher account opened by You in excess of ten teacher accounts;

1.14 �Us� or �We� means Money Maestro Limited Company Number 05963044, whose registered office is at 1 Crown Street, Chorley, Lancashire, PR7 1DX;

1.15 �Website� means www.money-maestro.co.uk;

1.16 �You� or �Your� means the Account Supervisor and where the Account Supervisor is using the Service in the course of business includes the Customer.

2. Provision of Service

2.1 The Service is provided by Us according to the terms of this agreement.

2.2 The Account Supervisor will receive access to the Service following receipt of payment in cleared funds by Us for the period of Your Subscription.

2.3 You acknowledge that You have provided Us with accurate and complete registration information and that it is Your responsibility to update Us of any changes to that information (including Your email address) by emailing info@money-maestro.co.uk.

2.4 Each Subscription is for a single organisation as detailed in Your registration information on Your Subscription Order Form. On registration, You will be allocated an ID.

2.5 You may authorise through the Account Supervisor home page access for Authorised Users by preparing user names and passwords for Authorised Users (�Authoriser Users ID�).

2.6 The Subscription Fee entitles You to open up to a maximum of ten teacher accounts. Any subsequent teacher accounts will be subject to the Supplement.

2.7 The number of pupil accounts You may open is unlimited; however in the event that the number of pupils accounts exceeds 250 (two hundred and fifty) You must provide Us with written evidence of the number of pupils the Customer has Key Stage 4.

2.8 You are responsible for all use of the Service by all Authorised Users and anyone else using Your ID or Authorised Users ID and You are responsible for preventing unauthorised use of Your ID and Authorised Users ID. You must ensure that Your Authorised Users comply with the terms of this agreement and all reasonable user terms made available on the Website.

2.9 If You believe there has been any breach of security such as the disclosure, theft or unauthorised use of Your ID and/or Authorised Users ID, You must notify Us immediately by emailing info@money-maestro.co.uk. If We reasonably believe that Your ID and/or Authorised Users ID is being used in any way which is not permitted by this agreement or all reasonable user terms made available on the Website, We reserve the right to suspend access rights immediately on giving notice to You and to block access from Your ID and Authorised Users ID until the issue has been resolved.

2.10 We are continually seeking to improve the Service. We reserve the right, at its discretion, to make changes to any part of the Service provided that it does not materially reduce the content or functionality of the Service.

2.11 Following Your acceptance of this agreement, We will make the Service available to You and except where provided for in this agreement, You will have no right to cancel this agreement before the end of Your Subscription.

3. Limited Rights to Use Content

3.1 All Content belongs to Us. Subject to clause 3.2, Your Authorised Users may:

3.1.1 retrieve and display the Content on a computer screen;

3.1.2 download and store Content in hard copy or electronic form on disc and on Your internal server (but not on any other server or other storage device connection to an external network) solely for Your own use for the duration of the Subscription. At the end of the Subscription, the Customer must destroy or erase any Content that has been copied, downloaded or stored during the Subscription and, if We require, You will confirm in writing to Us that You have done so;

3.1.3 bookmark or link to any part of the Service.

3.2 You may not (without contacting us to obtain prior written permission):

3.2.1 redistribute any of the Content (including by using it as part of any library, archive or similar service);

3.2.2 remove the copyright or trade mark notice from any copies of the Content made under this agreement;

3.2.3 except as expressly set out above, modify, reproduce or in any way commercially exploit any of the Content.

3.3 Copyright in any Software belongs to Us. Your use of the Software is governed by the terms of any licence agreement that may accompany or be included with the Software.

3.4 You acknowledge that �Money Maestro� is a trade mark and that You shall not use it without written permission from Us.

4. Fees

4.1 The Subscription Fee is calculated and payable annually on the anniversary of the start of Your Subscription (unless otherwise stated) in advance by such method of payment as We reasonably request. We are under no obligation to provide the Service until the Subscription Fee has been paid and received by Us in cleared funds.

4.2 Your Subscription will renew only if You make payment of the Subscription Fee before the anniversary of Your current Subscription. If You fail to pay the Subscription Fee for any subsequent year before the anniversary of Your then current Subscription, We may suspend Your access to the Service until Your Subscription Fee is paid and received by Us in cleared funds.

4.3 If You wish to open in excess of ten teacher accounts the Supplement will be payable for each teacher account in excess of ten; the Supplement shall be paid in advance by such method of payment as We reasonable request. We are under no obligation to provide You with in excess of ten teacher accounts until the Supplement has been paid and received by Us in cleared funds.

5. Warranties

5.1 We warrant that:

5.1.1 We will use all reasonable skill and care in making the Service available to You and in ensuring its availability during Your Subscription;

5.1.2 We have the right to License the Content under this agreement; and

5.2 Because of the number of sources from which We obtain the Content and because of the nature of the Internet and archived information, errors and omissions do occur and We do not give any other warranties in respect of the Service. In particular, You should not take the accuracy of the information for granted and We make no warranty that the Website is free from infection by viruses or anything else that has contaminating or destructive properties. All implied warranties are excluded from this agreement to the extent that they may be excluded as a matter of law.

6. Limitation of Liability

6.1 The Content constitutes general information about finance. Customers, Account Supervisors and Authorised Users should neither act nor refrain from action, on the basis of such information. Nothing in the Content constitutes advice for specific situations. No liability is accepted by Us in relation to its use. We disclaim all responsibility for all consequences of Customers, Account Supervisors and Authorised Users acting on, or refraining from acting in reliance on, any of the Content.

6.2 We will use Our reasonable endeavours to remedy faults in the Service during the Subscription. If We are in breach of this agreement, You agree that Your only recovery for damages that You incur, and Your exclusive remedy, shall be limited to an amount equivalent to the Subscription Fee paid or payable in relation to Your use for the relevant year of the Service.

6.3 We will not be liable for any consequential losses including but not limited to any business losses such as lost data, lost profits or business interruption arising from Your (or Your Authorised Users) use or inability to use the Service or from any action taken (or refrained from being taken) as a result of using the Service.

6.4 Notwithstanding the above provisions of this clause 6, Our liability will not be limited in the case of fraud or for death or personal injury caused by the Our negligence.

7. Privacy Policy

7.1 The information that You provide about Yourself to Us will only be used by

Us in accordance with Our Privacy policy. Please read the Privacy policy carefully and if You have any questions please email info@money-maestro.co.uk.

8. Notices

8.1 All notices shall be given to Us via email at info@money-maestro.co.uk or by post at 1 Crown Street, Chorley, Lancashire, PR7 1DX; or to You at either the email or postal address You provide during any ordering process.

8.2 Notice will be deemed received when an email is received (or else on the next business day if it is received on a weekend or a public holiday in the place of receipt) or 3 (three) days after the date of posting.

9. Links

9.1 The Service contains links to other web sites and resources, either directly or through frames and, where possible, We will make clear where such links are being made. Independent third parties provide these sites and We are not responsible and shall not be liable for the availability or content of these outside resources.

10. Termination

10.1 This agreement and Your access to the Service may be terminated by written notice if You are in material breach of this agreement and the breach is not remedied within the period of 14 days after written notice of the breach has been given to You. If We reasonably believe You are in breach of clause 3 We may suspend Your access to the Service at any time.

10.2 You may terminate this agreement and receive a pro-rata refund if the Service is discontinued or if We are in material breach of this agreement and the breach is not remedied within the period of 14 days after written notice of the breach has been given to Us by You.

11. General

11.1 We may transfer and/or assign Our rights and/or Our obligations under this agreement. This will not affect Your rights under this agreement. You may not transfer any of Your rights or obligations under this agreement.

11.2 Nothing in this agreement shall confer Your rights on any other person.

11.3 If You breach this agreement and We ignore this, We will still be entitled to use Our rights and remedies at a later date or in any other situation where You breach this agreement.

11.4 This agreement, together with the Privacy policy and any additional terms on the Service, represents the entire terms agreed between the parties in relation to its subject matter and may be amended only by Our agreement in writing.

11.5 This agreement shall be governed by English law.

11.6 We will try to solve any disagreements quickly and efficiently. If You want to take court proceedings in relation to this agreement You must do so in England.

1. Introduction

1.1 Money Maestro Limited takes the privacy of your information very seriously. This policy explains how and for what purposes we use the information collected about you via www.money-maestro.co.uk (referred to below as the �Site�). Please read this privacy policy carefully. By using the Site and any services we offer via the Site, you are agreeing to be bound by this policy in respect of the information collected about you via this Site.

1.2 If you have any queries about the policy, please get in touch with us using the contact details set out at clause 10 below and we will do our best to answer your questions.

2. Personal information collected

2.1 We will collect the following personal information from you:

2.1.1 name, a user name;

2.1.2 e-mail address, postal address, telephone number;

2.1.3 credit card number and expiry date.

2.2 Although it is not compulsory to give us this information, if you do not then we may not be able to provide you with the full range of services the Site has to offer.

3. Use of this information

3.1 We will use this information in order to:

3.1.1 administer your accounts with us;

3.1.2 process applications submitted by you;

3.1.3 to carry out marketing analysis and make general improvements to Our Site;

3.1.4 to obtain your views or comments on the services we provide.

3.2 We will use financial information to obtain payment for Services You have ordered from Us. This financial information is never actually received by Us. The page where this financial information is given by You is controlled by our contact merchant service provider, Paypal. Such information is automatically encrypted and later decrypted for use. It never touches our system.

4. Sharing this information

4.1 We may pass your information onto one of our carefully selected third parties to enable then to end you information which maybe of interest to you but only if you have given us permission to do so. You can tell us to stop this at any time by sending an e-mail to info@money-maestro.co.uk.

4.2 Other than as set out above, we will not disclosure any of your personal information without your permission unless we are required by law to do so (for example, if require to do so by a court order or for the purpose of prevention of fraud or other crime).

5. Cookies

5.1 When you visit the Site we may store some information (commonly known as a �cookie�) on your computer.
